2. Acceptance of Terms
By accessing our website, creating an account, or engaging our services,

3.2 Service Customization
Services are customized based on client needs, platform requirements,
and agreed-upon deliverables. Specific service details will be outlined
in individual service agreements or proposals.
3.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of our
services at any time with reasonable notice. We will not be liable for
any modification, suspension, or discontinuation of services.
4. Account Registration and Security
4.1 Account Creation
To access certain services, you may be required to create an account.
You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Keep your account credentials confidential
- Not share your account with others
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account

- Distribute malware or harmful code
- Interfere with our services or infrastructure

6. Payment Terms

Unless otherwise stated:
- All fees are in USD and exclude applicable taxes
- Prices are subject to change with 30 days' notice

6.2 Payment Schedule

Late payments may result in:
- Late fees of 1.5% per month or the maximum allowed by law
- Suspension of services until payment is received
- Termination of the agreement
- Legal action to recover outstanding amounts
- Liability for collection costs and legal fees
6.5 Taxes
You are responsible for all applicable sales, use, value-added, or other
taxes, except taxes based on our income.
7. Intellectual Property Rights
7.1 Our Intellectual Property
All content, features, and functionality on our website and in our
services, including but not limited to:
- Text, graphics, logos, images, and videos
- Software, code, and technology
- Trademarks, service marks, and trade names
- Methodologies, processes, and strategies
- Templates, designs, and creative works
are owned by OutstationSocial or our licensors and are protected by
copyright, trademark, and other intellectual property laws.
7.2 Client Content
You retain ownership of content you provide to us. By providing content,
you grant us a non-exclusive, worldwide, royalty-free license to use,
reproduce, modify, and display such content for the purpose of providing
our services.
7.3 Created Content Ownership
Content created by OutstationSocial as part of paid services becomes
your property upon full payment, subject to:

Our right to use it in portfolios and case studies (with your
permission)
- Third-party rights (stock photos, licensed materials, etc.)
- Any pre-existing intellectual property
7.4 Portfolio Rights
Unless otherwise agreed, we reserve the right to:
- Showcase our work in portfolios and marketing materials
- List you as a client (with your permission)
- Create case studies of successful campaigns
- Use campaign results in promotional materials
8. Confidentiality
8.1 Confidential Information
Both parties agree to keep confidential any proprietary or sensitive
information disclosed during the course of our relationship, including:
- Business strategies and plans
- Financial information
- Customer data and lists
- Technical information and processes
- Marketing strategies and campaigns
- Any information marked as confidential
8.2 Exceptions
Confidentiality obligations do not apply to information that:

Is or becomes publicly available through no breach of this Agreement
- Is already known to the receiving party

Is independently developed without use of confidential information
- Is required to be disclosed by law or court order
9. Service Level and Performance
9.1 Best Efforts
We will provide services using professional care and skill. However, we
cannot guarantee specific results, including but not limited to:
- Follower growth or engagement rates
- Sales, conversions, or revenue increases
- Viral content or campaign success
- Search engine rankings
- Platform algorithm performance
9.2 Platform Dependencies
Our services depend on third-party social media platforms. We are not
responsible for:
- Platform outages, changes, or discontinuations
- Algorithm updates affecting reach or engagement
- Policy changes or account restrictions
- Platform bugs or technical issues
- Content removal by platforms
9.3 Timelines
Project timelines are estimates and depend on:
- Timely client feedback and approvals
- Availability of required information and materials
- Scope changes or additional requests
- External factors beyond our control
10. Warranties and Disclaimers
10.1 Limited Warranty
We warrant that:

Services will be performed in a professional and workmanlike manner
- We have the right to provide the services
- Services will comply with applicable laws
10.2 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" AND "AS
AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED,
INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Uninterrupted or error-free service
- Accuracy or reliability of results
11. Limitation of Liability
11.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT
OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL
AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING
RISE TO LIABILITY.
11.2 Excluded Damages
WE SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Costs of substitute services
- Reputational harm or goodwill loss
- Damages resulting from third-party actions or platforms
11.3 Exceptions
Nothing in these Terms shall limit liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Gross negligence or willful misconduct
- Violations that cannot be limited by law
12. Indemnification
You agree to indemnify, defend, and hold harmless OutstationSocial, its
officers, directors, employees, agents, and affiliates from any claims,
liabilities, damages, losses, costs, or expenses (including legal fees)
arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Content you provide or approve
- Your business practices or products/services
- Disputes with other users or third parties
13. Term and Termination
13.1 Term
These Terms remain in effect while you use our services.
Service-specific terms are outlined in individual agreements.
13.2 Termination by Client
You may terminate services by:
- Providing 30 days' written notice for ongoing services
- Paying any outstanding fees and charges
- Complying with termination provisions in service agreements
13.3 Termination by Us
We may terminate or suspend services immediately if:
- You breach these Terms
- Payment obligations are not met
- We are required to do so by law
- Continuing services would cause harm to us or others
13.4 Effect of Termination
Upon termination:
- Your right to use services immediately ceases
- All outstanding fees become due immediately
- We will provide access to your data for 30 days
- We may delete your data after 30 days
- Provisions that should survive termination remain in effect
13.5 Refunds Upon Termination
Refunds upon termination are subject to our Refund Policy. Generally:
- Prepaid fees for completed work are non-refundable
- Unused portions may be refunded at our discretion
- Project-based services are subject to completion percentages
14. Dispute Resolution
14.1 Informal Resolution
Before filing a claim, you agree to contact us to seek informal
resolution. We will work in good faith to resolve disputes amicably.
14.2 Mediation
If informal resolution fails, parties agree to attempt mediation before
litigation.
14.3 Arbitration
Any disputes that cannot be resolved through mediation shall be resolved
through binding arbitration in accordance with applicable arbitration
rules, except where prohibited by law.
14.4 Class Action Waiver
You agree to resolve disputes on an individual basis and waive the right
to participate in class actions or class-wide arbitration, to the extent
permitted by law.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the
laws of the jurisdiction where OutstationSocial is registered, without
regard to conflict of law provisions.
Any legal action or proceeding shall be brought exclusively in the
courts of that jurisdiction, and parties consent to the personal
jurisdiction of such courts.
16. Force Majeure
Neither party shall be liable for failure to perform obligations due to
events beyond reasonable control, including:
- Natural disasters, acts of God
- War, terrorism, civil unrest
- Government actions or restrictions
- Pandemics or public health emergencies
- Internet or telecommunications failures
- Power outages or utility failures
- Third-party platform disruptions
17. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be
effective when posted on our website. We will notify you of material
changes via:
- Email notification
- Website notice
- Account dashboard notification
Your continued use of services after changes constitutes acceptance of
modified Terms.
18. General Provisions
18.1 Entire Agreement
These Terms, along with our Privacy Policy and service-specific
agreements, constitute the entire agreement between parties and
supersede all prior agreements.
18.2 Severability
If any provision is found invalid or unenforceable, the remaining
provisions remain in effect, and the invalid provision will be modified
to the minimum extent necessary to make it enforceable.

Failure to enforce any right or provision does not constitute a waiver

We may assign our rights and obligations without restriction.

or agency relationship between parties.

the addresses provided in service agreements.
18.7 Language
These Terms are provided in English. Any translation is for convenience
only, and the English version prevails in case of conflicts.
19. Third-Party Services and Links
Our services may contain links to third-party websites or integrate with
third-party services. We are not responsible for:
- Content, accuracy, or practices of third-party sites
- Third-party terms and conditions or privacy policies
- Losses or damages arising from third-party interactions
- Availability or functionality of third-party services
20. Feedback and Suggestions
If you provide feedback, suggestions, or ideas about our services, you
grant us the right to use and implement such feedback without
compensation or attribution.
